These Terms of Service (“Terms”) govern your access to and use of the website jsonanalytix.com (the “Site”) and the JsonAnalytix analytics and reporting platform (the “Service”), operated by JsonAnalytix LLC (“JsonAnalytix,” “we,” “us,” or “our”), a United States limited liability company.
By accessing or using the Site or Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Site or Service.
1. The Service
JsonAnalytix provides white-label, first-party event tracking, analytics dashboards, automated reporting, and related tools for performance marketing agencies and advertisers. We may modify, enhance, or discontinue features of the Service from time to time. We will provide reasonable notice of material changes that reduce core functionality of a paid plan.
2. Accounts and Eligibility
- You must be at least 18 years old and capable of forming a binding contract to use the Service.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You must provide accurate, current, and complete information when registering and keep it updated.
- Notify us immediately at [email protected] of any unauthorized use of your account.
3. Customer Data and Responsibilities
“Customer Data” means event data and other information you collect through the Service from your own websites, applications, and end users. As between the parties, you own your Customer Data. You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service.
You are responsible for:
- Ensuring you have all necessary rights, consents, and legal bases to collect and process Customer Data through the Service, including providing legally required privacy notices and obtaining cookie/tracking consents from your end users where applicable;
- Complying with all applicable laws and regulations (including data protection, advertising, and consumer protection laws) and the policies of any advertising platform you use in conjunction with the Service;
- Not collecting sensitive personal information (such as health, financial account, or government ID data) through the Service unless expressly agreed in writing.
4. Acceptable Use
You agree not to:
- Use the Service in violation of any law or third-party right;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
- Resell, sublicense, or provide the Service to third parties except as expressly permitted by your plan (white-label use for your own clients is permitted);
- Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it;
- Use the Service to transmit malware or conduct phishing, spamming, or other abusive practices;
- Circumvent usage limits or access restrictions of your plan.
5. Fees and Payment
- Paid plans are billed in advance on a subscription basis (monthly or annually, as selected at purchase). Fees are stated in U.S. dollars and are exclusive of taxes.
- Subscriptions renew automatically unless cancelled before the end of the current billing period. You may cancel at any time; cancellation takes effect at the end of the billing period already paid.
- Except where required by law, fees are non-refundable.
- We may change pricing with at least 30 days’ notice; changes apply at your next renewal.
6. Intellectual Property
The Service, including its software, design, and documentation, is owned by JsonAnalytix LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription in accordance with these Terms. All rights not expressly granted are reserved. Feedback you provide may be used by us without restriction or obligation.
7. Confidentiality
Each party agrees to protect the other party’s non-public information with at least the same degree of care it uses for its own confidential information, and not to use or disclose it except to perform under these Terms or as required by law.
8. Privacy
Our collection and use of personal information is described in our Privacy Policy. For Customer Data, we act as a processor/service provider and process it per your instructions and our agreements with you.
9. Term, Suspension, and Termination
- These Terms apply for as long as you use the Site or Service.
- We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that poses a security or legal risk. Where practical, we will notify you and give you an opportunity to cure.
- Upon termination, your right to use the Service ends. Upon written request within 30 days of termination, we will make your Customer Data available for export, after which we may delete it.
10. Disclaimers
THE SITE AND SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANALYTICS RESULTS WILL BE COMPLETE OR ACCURATE IN ALL CASES. ANALYTICS DATA IS PROVIDED FOR INFORMATIONAL PURPOSES AND SHOULD NOT BE YOUR SOLE BASIS FOR BUSINESS DECISIONS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NO FEES). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.
12. Indemnification
You will defend and indemnify JsonAnalytix LLC against third-party claims arising from (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your failure to obtain required end-user consents, and pay resulting damages, costs, and reasonable attorneys’ fees.
13. Governing Law and Disputes
These Terms are governed by the laws of the United States and the state in which JsonAnalytix LLC is organized, without regard to conflict-of-laws rules. The parties will first attempt in good faith to resolve any dispute informally by contacting [email protected]. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in that state, and each party consents to their jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page and revise the “Last updated” date. Material changes will be notified to account holders by email or in-product notice, and continued use of the Service after the effective date constitutes acceptance.
15. General
- Entire agreement. These Terms, together with the Privacy Policy and any order form, are the entire agreement between you and JsonAnalytix regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Failure to enforce a provision is not a waiver of the right to do so later.
- Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
