These Terms of Service (“Terms”) govern your access to and use of the website jsonanalytix.com (the “Site”) and the JsonAnalytix analytics and reporting platform (the “Service”), operated by JsonAnalytix LLC (“JsonAnalytix,” “we,” “us,” or “our”), a United States limited liability company.

By accessing or using the Site or Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Site or Service.

JsonAnalytix provides white-label, first-party event tracking, analytics dashboards, automated reporting, and related tools for performance marketing agencies and advertisers. We may modify, enhance, or discontinue features of the Service from time to time. We will provide reasonable notice of material changes that reduce core functionality of a paid plan.

The Service, including its software, design, and documentation, is owned by JsonAnalytix LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription in accordance with these Terms. All rights not expressly granted are reserved. Feedback you provide may be used by us without restriction or obligation.

Each party agrees to protect the other party’s non-public information with at least the same degree of care it uses for its own confidential information, and not to use or disclose it except to perform under these Terms or as required by law.

Our collection and use of personal information is described in our Privacy Policy. For Customer Data, we act as a processor/service provider and process it per your instructions and our agreements with you.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANALYTICS RESULTS WILL BE COMPLETE OR ACCURATE IN ALL CASES. ANALYTICS DATA IS PROVIDED FOR INFORMATIONAL PURPOSES AND SHOULD NOT BE YOUR SOLE BASIS FOR BUSINESS DECISIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NO FEES). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

You will defend and indemnify JsonAnalytix LLC against third-party claims arising from (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your failure to obtain required end-user consents, and pay resulting damages, costs, and reasonable attorneys’ fees.

13. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which JsonAnalytix LLC is organized, without regard to conflict-of-laws rules. The parties will first attempt in good faith to resolve any dispute informally by contacting [email protected]. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in that state, and each party consents to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the “Last updated” date. Material changes will be notified to account holders by email or in-product notice, and continued use of the Service after the effective date constitutes acceptance.
